Assistant Manager Required - Ras Al Khaimah
As an integral part of our legal and risk management department, you will report directly to the General Counsel and Head of Risk, playing a key role in maintaining a strong governance framework and ensuring compliance across our organization.
The key tasks include:
Strategy and Planning: Managing corporate governance matters and proposing changes to enhance procedures and working arrangements. Implementing policies, procedures, and good governance practices aligned with commercial priorities and legal requirements.
Corporate Governance: Supporting the General Counsel in maintaining corporate governance best practices. Developing, monitoring, and ensuring compliance with corporate governance manuals, procedures, and guidelines. Maintaining up-to-date entity lists and corporate registers.
Policies: Implementing and managing the organization's policy framework. Coordinating policy rollout across departments and subsidiaries. Tracking policy reviews, providing training, and monitoring compliance. Reviewing and finalizing policy drafts for approval.
Delegations of Authority: Maintaining and updating the delegation of authority framework. Coordinating with department heads and the board for accountability. Liaising with the finance department to ensure alignment with banking authorities.
Corporate Matters: Monitoring board and committee performance, ensuring proper record-keeping. Preparing board and shareholder resolutions. Managing basic corporate documentation and tracking legal processes.
Risk Management: Collaborating with the legal and risk management teams to support governance-related risk management initiatives.
Desired qualifications, experience, and skills:
Bachelor’s degree in Audit, Finance, Legal, Risk Management, and/ or related fields.
Professional Certification in Corporate Governance/Certified Corporate Governance Professional (CCGP)/ICA Specialist Certificate in Corporate Governance is a plus.
4 years of experience in the Corporate Governance Function, Corporate Governance Framework, and development of a Delegation of Authority matrix gained within a reputable corporate entity or financial institution.
Must be fluent in English (written and spoken).
Due to the nature of the role, Middle East experience is strongly preferred.
Able to work independently with sound technical ability.
